ENEOS Holdings, Inc. is the Tokyo-based holding company of the ENEOS Group, formed on 1 April 2010 and listed on the Tokyo Stock Exchange Prime Market and the Nagoya Stock Exchange Premier Market under code 5020. It manages subsidiaries active in petroleum products, oil and natural gas exploration and production, functional materials, electricity and renewable energy. In the financial year ended 31 March 2026 the group reported consolidated revenue of 11,765.4 billion yen and operating income of 466.6 billion yen, or 474.4 billion yen excluding the inventory valuation effect, with 34,099 consolidated employees.

What the group operates

Group companies include ENEOS Corporation for refining and fuel marketing, ENEOS Xplora for upstream oil and gas, ENEOS Materials for functional materials, JX Advanced Metals in metals and advanced materials, ENEOS Power for electricity and city gas, and ENEOS Renewable Energy. Crude oil processing capacity stood at 1.64 million barrels a day at the end of March 2026, and the group's affiliated service-station network in Japan is the country's largest at more than 11,000 outlets, measured in February 2026. Renewable generation capacity reached 1.46 million kilowatts by the end of March 2026.

Segment earnings for FY2025

Operating income excluding inventory effects was split across the business lines as follows, on the group's own figures for the year to March 2026: petroleum products 300.2 billion yen, oil and natural gas development 50.8 billion yen, functional materials 11.1 billion yen, electricity 22.0 billion yen, renewable energy a loss of 0.9 billion yen and other activities 91.2 billion yen. The heavy weighting towards fuels reflects the group's history as Japan's largest refiner and fuel retailer.

Corporate history

The group traces its origins to Nippon Oil, established in 1888, which merged with Mitsubishi Oil in 1999. JX Holdings was created in April 2010 through a joint share transfer between Nippon Oil and Nippon Mining Holdings, bringing refining, upstream and metals businesses under one holding company. In April 2017 JX Holdings merged with TonenGeneral Sekiyu to form JXTG Holdings, which was renamed ENEOS Holdings in June 2020, the same year the petroleum operating company took the ENEOS Corporation name. The corporate profile records authorised capital of 100 billion yen, 2,706,766,549 shares issued and a fiscal year running from April to March.

Transactions and events in 2026

The group has been reshaping its portfolio. On 14 May 2026 it announced a sale and purchase agreement with Chevron covering the acquisition of several downstream businesses in South East Asia and Australia, alongside its results for the year ended March 2026. On 7 August 2026 it said it would acquire TPC Holdings, Inc., a step it described as creating the world's third-largest butadiene production capacity, and published first-quarter results for the year to March 2027 the same day. In June 2026 it reported the outcome of a tender offer by JX Metals for its own shares, and in September 2026 it completed a share buyback and announced organisational and personnel changes. Two regulatory matters are also on the record: a criminal complaint by Japan's Fair Trade Commission concerning a group company, disclosed in April 2026, and the indictment of a group company reported later that month.

Its 16th ordinary general meeting of shareholders was held on 25 June 2026, and the group publishes an integrated report, an ESG data book and sustainable finance information.
